By accessing or using the EZTrolley website, mobile application, or any associated services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you ("User", "Customer", or "Business") and EZTrolley (hereinafter referred to as "we", "us", or "our"). We reserve the right to modify these Terms at any time, with changes effective upon posting. Continued use of the Platform after modifications constitutes acceptance of the revised Terms.

EZTrolley is a Business-to-Business (B2B) procurement platform exclusively designed for registered commercial entities operating in the HORECA sector — including restaurants, hotels, cafés, cloud kitchens, bakeries, catering companies, and allied food service businesses.

By registering on the Platform, you represent and warrant that: (a) you are at least 18 years of age; (b) you are a legally registered business entity or an authorised representative thereof; (c) you possess a valid GSTIN (if applicable under Indian law); and (d) you have the authority to enter into binding agreements on behalf of your business.

EZTrolley reserves the right to refuse registration or terminate accounts that do not meet these eligibility criteria.

To access the full features of the Platform, you must create an account by providing accurate, current, and complete information including your business name, GSTIN, delivery address, and contact details. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

You agree to immediately notify EZTrolley at support@eztrolley.com of any unauthorised use of your account or any other security breach. EZTrolley will not be liable for any loss or damage arising from your failure to protect your account credentials.

EZTrolley reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or provides false or misleading information.

All orders placed on the Platform are subject to product availability and confirmation. EZTrolley reserves the right to cancel or modify any order if a product is out of stock, if there is a pricing error, or if the order violates these Terms.

Prices displayed on the Platform are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless explicitly stated otherwise. Prices may vary based on your assigned price level, applicable bulk discount tiers, or category-specific pricing agreements negotiated between your business and EZTrolley.

EZTrolley reserves the right to revise prices at any time without prior notice. The price applicable to your order will be the price confirmed at the time of order placement. Promotional offers, discount codes, and special pricing are subject to their individual terms and may be withdrawn at any time.

Minimum order quantities (MOQ) may apply to specific products or price levels. These will be clearly indicated on the product listing page.

Payment for orders must be made using the methods accepted on the Platform, which may include UPI, NEFT/RTGS bank transfer, credit/debit cards, or approved credit terms extended to eligible business accounts.

For customers on credit terms, invoices are due and payable within the agreed credit period from the date of delivery. Late payments may attract interest at the rate of 1.5% per month on the outstanding amount, in addition to any recovery costs incurred by EZTrolley.

EZTrolley reserves the right to suspend order fulfilment for accounts with outstanding dues beyond the credit period. All payments are processed securely; EZTrolley does not store your full payment card details on its servers.

In case of payment disputes, please contact support@eztrolley.com within 7 business days of the transaction date with supporting documentation.

EZTrolley endeavours to deliver orders placed before the cut-off time (typically 10:00 PM IST) by 7:00 AM the following morning ("Next-Day Delivery"). Express delivery slots may be available for select products and locations, subject to additional charges.

Delivery is currently available to serviceable pin codes across our operational cities. The serviceable areas and estimated delivery times are displayed at checkout. EZTrolley shall not be held liable for delivery delays caused by circumstances beyond our reasonable control, including natural disasters, civil unrest, government restrictions, or carrier failures.

Risk of loss and title for products pass to the Customer upon delivery to the specified delivery address. It is the Customer's responsibility to ensure that an authorised representative is present to receive the delivery and inspect the goods. Any discrepancies in quantity or visible damage must be noted on the delivery receipt at the time of delivery.

Delivery charges, if applicable, will be displayed at checkout prior to order confirmation. Minimum order values may apply for free delivery.

EZTrolley is a GST-registered entity under the Goods and Services Tax Act, 2017. A valid GST invoice will be issued for every order and made available in your account dashboard within 24 hours of delivery.

It is the Customer's responsibility to provide an accurate GSTIN at the time of registration. EZTrolley shall not be liable for incorrect GST credit claims arising from incorrect GSTIN information provided by the Customer. Amendments to billing details after invoice generation may be subject to applicable fees and timeline constraints.

You agree not to use the Platform for any purpose that is unlawful, fraudulent, or harmful. Specifically, you shall not: (a) resell or redistribute products purchased on the Platform to retail consumers without prior written consent from EZTrolley; (b) place fictitious orders or engage in order manipulation; (c) scrape, harvest, or collect data from the Platform by automated means; (d) attempt to gain unauthorised access to any part of the Platform or its underlying systems; (e) impersonate any person or entity or misrepresent your affiliation with any entity; or (f) transmit any content that is defamatory, obscene, or otherwise objectionable.

Violation of these prohibitions may result in immediate account suspension, cancellation of pending orders, and legal action where warranted.

All content on the Platform, including but not limited to text, graphics, logos, images, product descriptions, data compilations, and software, is the property of EZTrolley or its content suppliers and is protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for the purpose of placing orders and managing your business account. No content may be reproduced, distributed, modified, or commercially exploited without express written permission from EZTrolley.

To the maximum extent permitted by applicable law, EZTrolley, its directors, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or goodwill — arising out of or in connection with your use of the Platform or products purchased thereon.

EZTrolley's total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the value of the specific order giving rise to the claim.

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

You agree to defend, indemnify, and hold harmless EZTrolley and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Content submissions, third-party claims arising from your products, or your violation of any law or the rights of any third party.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

Prior to initiating any legal proceedings, the parties agree to attempt good-faith resolution of the dispute through direct negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may initiate arbitration proceedings under the Arbitration and Conciliation Act, 1996.
